Important Notice: Please read these Terms and Conditions carefully before downloading, registering for, or using our software. These Terms constitute a legally binding agreement between you (or the educational/business entity you represent) and Baryons Tech Solutions Pvt. Ltd. By accessing or using our School MIS or Mini CRM applications, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1. Acceptance of Terms & Eligibility
These Terms and Conditions ("Terms", "Agreement") govern your access to and utilization of the applications, portals, APIs, and digital solutions provided by Baryons Tech Solutions Pvt. Ltd. ("Baryons", "we", "us", or "our"), a registered technology enterprise based in Lazimpat, Kathmandu-2, Nepal.
If you are registering or executing this Agreement on behalf of a school, educational board, academy, company, or other legal entity, you represent and warrant that you possess full legal authority to bind that entity to these Terms. If you lack such legal authority, or if you do not agree with any provision of these Terms, you must not install, register, or access our applications.
2. Products Covered & License Grant
Subject to your continuous compliance with this Agreement and timely payment of any applicable licensing or subscription fees, Baryons grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use our software on authorized devices solely for internal operational purposes:
A. School MIS (Web Portal, Android Mobile App, iOS App)
A multi-platform enterprise management solution comprising a web administrative dashboard and native mobile applications for Android (Google Play) and iOS (Apple App Store). The platform is licensed to schools, colleges, and training academies for managing student enrollment, academic timetables, daily attendance, examination mark sheets, report cards, billing statements, and teacher-parent communication.
B. Mini CRM (Mobile Application Only – No Web App)
A mobile-centric Customer Relationship Management application designed for field sales professionals, agents, and small business operators. This product is strictly a mobile application (available on Android and iOS; there is no public web application). It is engineered with offline-first capabilities using local device storage and connects to an enterprise cloud database hosted on Supabase for continuous synchronization.
3. User Accounts, Credentials & Access Controls
Access to our applications requires the creation of an authorized account with unique login credentials:
- Account Security: You are strictly responsible for maintaining the confidentiality of your username, password, and two-factor authentication tokens. You agree to notify Baryons immediately upon suspecting any unauthorized access to your account.
- Role-Based Access Control (RBAC): Within School MIS, access permissions are tiered (Super Administrator, School Principal, Teacher, Accountant, Student, Parent). Administrators must strictly assign permissions according to legitimate duties and ensure that staff credentials are terminated immediately upon employment conclusion.
- Accuracy of Account Data: You warrant that all information provided during registration or student/contact onboarding is accurate, current, and complete.
4. Offline Mode, Local Data Storage & Synchronization Disclaimers
A signature feature of our Mini CRM Mobile App (and select modules of the School MIS Mobile App) is the ability to operate in both offline and online environments:
Crucial Disclaimers Regarding Offline Storage & Device Loss:
- Local Device Cache: When operating offline without active WiFi or cellular connectivity, data entered into the Mini CRM app is stored locally in an encrypted database (SQLite) directly on the physical mobile device.
- Sync Obligation: Local data does not reach the secure Supabase cloud backend until the device connects to an active internet network. Users must periodically connect their devices to the internet to trigger cloud synchronization.
- Device Loss / Hardware Failure: If a mobile device running in offline mode is lost, stolen, damaged, or wiped before local pending records are synchronized with Supabase, Baryons is technically unable to recover those un-synced local records. The user assumes full responsibility for timely synchronization.
- Conflict Resolution: When multiple updates occur to the same record across different offline devices, synchronization follows deterministic timestamp-based precedence (latest verified server timestamp prevails).
5. Supabase Cloud Backend & Third-Party Infrastructure
Our applications utilize Supabase (PostgreSQL, authentication, and secure cloud storage) as the foundational cloud database provider:
- Database Protection: Cloud database access is strictly governed by Supabase Row-Level Security (RLS) policies, ensuring total multi-tenant data partitioning.
- Third-Party Infrastructure Dependency: While we select enterprise-grade infrastructure providers with high uptime records (99.9%), we do not control the physical data centers or international telecommunications lines of cloud hosts or cellular networks. Baryons shall not be held liable for temporary interruptions arising directly from upstream cloud hosting outages, regional internet blackouts, or local telecom service disruptions.
6. School & Institutional Customer Obligations
Subscribing schools, colleges, and educational administrators agree to adhere strictly to the following responsibilities:
- Authority & Legal Consent: The school certifies that it has obtained lawful consent from students and/or their parents/legal guardians to input, store, and process personal and academic records within the School MIS, in full compliance with the Individual Privacy Act, 2075 of Nepal and international child privacy standards (such as COPPA/GDPR principles).
- Data Accuracy: The school remains solely responsible for the correctness, integrity, and timely updating of student marks, attendance records, financial fee statements, and teacher assignments.
- Prompt Revocation: School administrators must immediately deactivate accounts of graduated or transferred students and departing staff members to prevent unauthorized data exposure.
7. Acceptable Use Policy & Prohibited Conduct
When accessing or using School MIS, Mini CRM, or our online services, you explicitly agree that you shall NOT:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, or Supabase database schemas of our applications.

- Maintenance & Support: Baryons is solely responsible for providing maintenance and support services for our mobile applications. Apple and Google have no obligation whatsoever to furnish any maintenance or support services.
- Warranty Disclaimers: In the event of any failure of the iOS application to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price for the application (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever.
- Third-Party Beneficiary: You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
10. Subscriptions, Invoicing & Billing Terms
Commercial licensing and SaaS terms are structured as follows:
- Institutional Agreements: School MIS licenses are provided under institutional service agreements detailing subscription cycles (annual or monthly), user tiers, implementation fees, and customized feature add-ons.
- Payment Timelines: Invoices issued by Baryons are payable within thirty (30) calendar days from receipt unless otherwise specified in your commercial contract.
- Suspension for Non-Payment: Failure to settle valid subscription invoices after written notification may result in temporary suspension of administrative and student portal access until overdue balances are cleared.
- Taxes: All quoted pricing is subject to applicable statutory Value Added Tax (VAT) or prevailing statutory taxes as prescribed by the Government of Nepal.

12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY THE LAWS OF NEPAL AND RELEVANT APPLICABLE JURISDICTIONS:
- IN NO EVENT SHALL BARYONS TECH SOLUTIONS PVT. LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, CORRUPTION OF DATA, OR TELECOMMUNICATION DOWNTIME—ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE OUR APPLICATIONS.
- THE AGGREGATE LIABILITY OF BARYONS FOR ANY AND ALL CLAIMS ARISING OUT OF THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO BARYONS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

- Termination by User: You may terminate this Agreement at any time by ceasing all use of our applications and requesting account deletion in accordance with our Privacy Policy.

- Post-Termination Data Access: Upon contract termination of a School MIS license, the school shall be granted a period of thirty (30) calendar days to request and export student and academic records before institutional databases are purged from our Supabase servers.
14. Governing Law & Dispute Resolution
